Position: Manager Corporate Compliance
Requirements:
Bachelor’s/master’s degree in law, Finance, Economics or Banking.
Professional Legal or financial qualification such Chartered Secretary or Chartered Accountant or Certified Director will be a plus.
Minimum of 8 - 10 years of relevant job experience as Corporate Governance/Company Secretary in a large/listed group.
Overall Responsibilities:
Provide governance and administrative support for EPCL/EFAT/TPVC/EPeroxide/EPlasticizer Board and Shareholders meetings.
Attend and take minutes of EPCL/EFAT/TPVC/EPeroxide/EPlasticizer and Shareholders meetings.
Oversee production of EPCL/EFAT/TPVC/EPeroxide/EPlasticizer business papers and associated management processes
Maintain a schedule of matters arising from EPCL/EFAT/TPVC/Peroxide/Plasticizer Board meetings and maintaining the board and shareholders meeting minute books and other statutory records.
Plan, coordinate and execute the EPCL/EFAT/TPVC/EPeroxide/EPlasticizer Board and Annual General Meeting and other shareholder meetings/events as required in accordance with regulatory requirements.
Ensure compliance with corporate regulatory requirements prescribed by the regulatory authorities.
Ensuring legal and regulatory compliance in respect of company shares, TFCs and Sukuks.
Review and monitor the share trades of executives.
Ensure the quarterly dividend payments, if any.
Responsible for the operating and maintaining – Employee share Trading Portal.
Responsible for highlighting Share trading non-compliances on quarterly basis for all listed companies.
Responsible for Share Trading and compliance annual audit by internal and external audit department
